LICENCE AND OPERATIONAL PROCEDURE

How the MoosBox licence works, which documents should be retained and what to do in the event of an inspection or claim.

The MoosBox Legal Protocol describes the authorisation framework applicable to the music content supplied through the Service and sets out the procedure the Client must follow in the event of an inspection, payment request, report, formal notice or claim.

The 2026 Legal Protocol, the Licence Certificate and the General Terms and Conditions constitute the reference documentation for the Service.

How MoosBox music is authorised

Music distributed through MoosBox includes:

• tracks licensed through an independent Collector under direct and non-exclusive agreements with rightsholders;
• original productions created or commissioned by MoosBox, including with the assistance of artificial intelligence technologies and under human editorial supervision;
• content used under agreements with duly entitled parties or on the basis of rights lawfully held or acquired by the Licensor.

Coverage depends on the specific documented chain of authorisation applicable to each item of content.

No duplicate payment is due for the same rights and uses already validly included in the Service.

The licence applies exclusively to the Client, authorised locations, territories and uses, and remains valid for the duration of an active and regularly paid subscription.

Validity of the licence

The Licence Certificate is issued only after the first payment and final activation of the subscription.

The trial period is exclusively technical and evaluative and does not include a commercial licence for the public performance of music.

The licence remains valid only where:

• the Service is active;
• payments are up to date;
• only MoosBox content covered by the Service is used;
• use remains within the authorised scope;
• the General Terms and Conditions and the Legal Protocol are complied with.

Suspension, expiry or termination of the Service ends the right to use MoosBox content.

Content created with artificial intelligence tools

The catalogue may include music content created with the assistance of artificial intelligence technologies and under human editorial supervision.

Before inclusion in the Service, such content is subject to documented selection, review, reasonable similarity checks and traceability procedures.

Content presenting intentional references, unresolved doubts or similarities that have not been adequately clarified is not approved for production or distribution.

Timestamping, watermarking, metadata and internal records serve documentary and evidential-support purposes. They do not replace rights verification and do not, by themselves, guarantee the outcome of any proceeding.

What to do in the event of an inspection

In the event of an inspection, payment request, report, formal notice or claim:

1. remain calm and cooperate appropriately with the inspector;
2. request written documentation stating the date, time and reason for the visit, together with any rights or content being challenged;
3. state that you use “Licence Inclusive” music supplied by MoosBox and, where requested, present the Licence Certificate;
4. do not sign new contracts, agreements, statements or admissions of liability;
5. do not make immediate payments without first involving MoosBox, unless immediately enforceable and non-deferrable obligations are imposed by law or by a competent authority;
6. do not state that the disputed content definitely originates from MoosBox before checking the source actually being used;
7. send all received materials within 24/48 hours to support@moosbox.com, stating the name of the location, the date and time of the inspection and the music source being used.

MoosBox will review the documentation and coordinate the handling of the request with duly entitled parties and its licensing partners.

Shazam and recognition tools

Shazam and other recognition tools may identify music content that is also distributed on public platforms.

Identification of a title does not, by itself, prove the absence of a licence, the existence of an infringement or an additional payment obligation.

Coverage must be assessed by reference to the contractual documentation, the Licence Certificate, the source actually used and the chain of authorisation applicable to the specific content.

Shazam may also return incorrect results because of background noise, overlapping speech, similar instrumental tracks or errors within its own recognition system.

The Licence Certificate and the Legal Protocol are available for download from the Client’s Manager Profile:

A printed or digital copy should be kept easily accessible at the business location.

Conditions for MoosBox support validity

To maintain coverage and documentary support:

• use only music supplied by MoosBox;
• do not use Spotify, YouTube, radio, CDs, smartphones or other external music sources;
• keep the subscription active and up to date;
• comply with the authorised locations, Brands, territories and methods of use.

The use of external music sources may prevent MoosBox from establishing the origin of disputed content and may result in the loss of the related documentary support.

Claims relating to specific content

Where a substantiated claim or reasonable doubt arises concerning specific content, MoosBox may suspend, remove or replace that content as a precaution while checks are carried out.

Such action does not affect the validity of the licence for the remainder of the catalogue or the continuity of the Service.

Review procedures reduce risk but do not constitute an absolute guarantee that third-party claims cannot arise.

Legal notice

MoosBox is not a Collective Management Organisation or an Independent Management Entity.

It operates as an authorised music service provider on the basis of direct licences, agreements with duly entitled parties and productions for which it holds the rights and contractual authority required for the authorised uses.

AGCOM Decision No. 2/22/DSDI-ARCH of 27 May 2022 closed the complaint concerning Newton & Associati 1997 S.L.’s alleged collective management activity.
